MeritQue Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Apex Relational Intelligence, doing business as MeritQue (“MeritQue,” “we,” “us,” or “our”).

These Terms govern your access to and use of:

  • The MeritQue website;
  • The MeritQue web and mobile applications;
  • Resume, cover-letter, career-profile, job-analysis, and application-preparation tools;
  • Artificial-intelligence-assisted features;
  • Subscription services;
  • Document-generation and export features;
  • Application tracking features; and
  • Any related services, software, content, or functionality we provide.

Collectively, these are referred to as the “Service.”

By creating an account, purchasing a subscription, clicking to accept these Terms, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy.

Do not use the Service if you do not agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use MeritQue.

By using the Service, you represent that:

  • You are at least 18 years old;
  • The information you provide is accurate;
  • You are not prohibited from using the Service under applicable law; and
  • You will use MeritQue only for lawful purposes.

You may not use the Service on behalf of another person without that person’s knowledge and authorization.

2. Description of MeritQue

MeritQue is an AI-assisted career and job-application platform.

Depending on your subscription and available features, MeritQue may help you:

  • Create and maintain a career profile;
  • Upload and organize resumes and career documents;
  • Analyze job descriptions;
  • Identify qualifications, responsibilities, skills, and keywords;
  • Compare a job description with your stated experience;
  • Generate or revise resumes;
  • Generate cover letters;
  • Prepare draft responses to application questions;
  • Organize job opportunities;
  • Track applications;
  • Export application documents; and
  • Assist with permitted application workflows.

MeritQue is a tool for preparing, organizing, and presenting information. MeritQue is not an employer, recruiter, staffing agency, law firm, immigration advisor, background-check company, or employment decision-maker.

3. No Guarantee of Employment Results

MeritQue does not guarantee:

  • That a job posting is active, legitimate, or still available;
  • That an employer will receive or review your application;
  • That an applicant-tracking system will accept or rank your application;
  • That your application will pass automated screening;
  • That you will receive a response;
  • That you will receive an interview;
  • That you will receive an offer;
  • That an employer will verify or accept your qualifications;
  • That generated documents will produce a particular result; or
  • That using MeritQue will improve your employment prospects.

Employers, recruiters, job platforms, and applicant-tracking systems operate independently from MeritQue and control their own processes and decisions.

You are solely responsible for evaluating employers, job postings, interview requests, employment offers, and hiring-related communications.

4. Artificial Intelligence Features

MeritQue uses artificial intelligence and automated systems to analyze information and generate content.

AI-generated or AI-assisted content may include:

  • Resume summaries;
  • Resume bullet points;
  • Cover letters;
  • Job-description analyses;
  • Application answers;
  • Suggested skills;
  • Match explanations;
  • Career summaries;
  • Keywords;
  • Formatting recommendations; and
  • Other suggested content.

AI-generated content may be incomplete, inaccurate, outdated, misleading, repetitive, or unsuitable for your specific situation.

You must review all generated content before using, downloading, publishing, or submitting it.

MeritQue does not represent that AI-generated content is:

  • Factually accurate;
  • Free from bias;
  • Legally compliant in every jurisdiction;
  • Unique;
  • Free from third-party rights;
  • Accepted by every employer or platform; or
  • Appropriate for every application.

You remain responsible for the final content you use.

5. Accuracy and Truthfulness

You agree to provide truthful, complete, and current information.

You may not use MeritQue to:

  • Invent employment;
  • Create false job titles;
  • Misstate dates of employment;
  • Conceal employment gaps through deceptive dates;
  • Invent education;
  • Invent certifications or licenses;
  • Invent skills;
  • Invent software proficiency;
  • Invent accomplishments;
  • Invent revenue, savings, percentages, or performance metrics;
  • Falsely claim authorization to work;
  • Falsely answer background questions;
  • Impersonate another person; or
  • Mislead an employer about your identity or qualifications.

MeritQue may rephrase, organize, prioritize, summarize, or emphasize information you provide. You are responsible for confirming that each statement accurately represents your experience.

If MeritQue flags a statement as uncertain, unsupported, inferred, or requiring review, you may not treat that statement as verified without confirming it yourself.

6. Sensitive Application Questions

MeritQue may assist in organizing or drafting responses to application questions.

However, questions involving the following may require direct review by you:

  • Disability;
  • Medical information;
  • Race or ethnicity;
  • Gender or gender identity;
  • Sexual orientation;
  • Veteran status;
  • Religion;
  • Criminal history;
  • Work authorization;
  • Immigration status;
  • Sponsorship requirements;
  • Salary history;
  • Background investigations; or
  • Other legally sensitive disclosures.

MeritQue is not providing legal or immigration advice.

You are solely responsible for determining whether, when, and how to answer sensitive questions.

Do not upload Social Security numbers, passport numbers, banking information, complete payment-card numbers, medical records, or other highly sensitive information unless MeritQue expressly provides a secure field intended for that purpose.

7. Your Account

You may need to create an account to use some or all of the Service.

You agree to:

  • Provide accurate registration information;
  • Maintain the accuracy of your information;
  • Keep your password confidential;
  • Use reasonable security measures;
  • Notify us promptly of unauthorized access; and
  • Accept responsibility for activity conducted through your account.

You may not:

  • Share your account with unauthorized users;
  • Sell or transfer your account;
  • Create accounts using false information;
  • Create multiple accounts to avoid limits or fees; or
  • Access another person’s account without permission.

We may require account or identity verification.

8. User Content

“User Content” means information or materials you upload, enter, submit, transmit, or store through MeritQue, including:

  • Resumes;
  • Cover letters;
  • Employment history;
  • Education;
  • Certifications;
  • Skills;
  • Achievements;
  • Contact information;
  • Job descriptions;
  • Application questions;
  • Notes;
  • Preferences;
  • Uploaded files;
  • Feedback; and
  • Other career or application information.

You retain your ownership rights in your User Content.

You grant MeritQue a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, analyze, transmit, modify, and process User Content only as reasonably necessary to:

  • Operate the Service;
  • Provide requested features;
  • Generate documents and analyses;
  • Maintain and secure the Service;
  • Prevent fraud and misuse;
  • Provide support;
  • Comply with law; and
  • Improve the Service in accordance with our Privacy Policy and any applicable consent choices.

This license ends when your User Content is deleted, except where continued retention is required by law, necessary for security or dispute resolution, or permitted under our Privacy Policy.

You represent that:

  • You own or have permission to use your User Content;
  • Your User Content is accurate to the best of your knowledge;
  • Your User Content does not violate another person’s rights;
  • Your User Content is not unlawfully obtained; and
  • Our processing of your User Content as described in these Terms will not violate applicable law.

9. Generated Output

“Output” means content created or suggested by MeritQue based on your instructions or User Content.

As between you and MeritQue, and to the extent permitted by applicable law:

  • You retain ownership of your original User Content;
  • MeritQue assigns to you any rights MeritQue may have in Output generated specifically for you; and
  • You may use approved Output for your personal job search and other lawful purposes.

This does not grant you ownership of:

  • MeritQue software;
  • Templates;
  • Platform designs;
  • Proprietary scoring systems;
  • Prompts;
  • Models;
  • Workflows;
  • Databases;
  • Interfaces;
  • Brand assets; or
  • Content owned by third parties.

Because AI systems may generate similar content for different users, MeritQue does not guarantee that Output is unique.

Some AI-generated material may not qualify for copyright protection. You are responsible for determining whether your use of any Output is lawful and whether the Output is protectable.

10. Third-Party Services and Job Platforms

MeritQue may interact with or provide links to third-party services, including:

  • Job boards;
  • Employer career pages;
  • Applicant-tracking systems;
  • Cloud-storage providers;
  • Payment processors;
  • Document processors;
  • Email providers;
  • AI providers; and
  • Analytics or communications providers.

Third-party services are governed by their own terms and privacy policies.

MeritQue is not responsible for:

  • Third-party availability;
  • Third-party security;
  • Third-party content;
  • Changes to third-party services;
  • Rejected or undelivered applications;
  • Employer or recruiter conduct;
  • Job-platform account restrictions;
  • Data processed independently by third parties; or
  • Losses arising from third-party services.

You agree to comply with the terms, technical restrictions, and acceptable-use policies of any third-party platform you access.

MeritQue does not authorize you to violate another platform’s terms or use unauthorized bots, scraping tools, scripts, browser automation, or other methods prohibited by that platform.

MeritQue may disable or limit a feature if we believe its use would violate third-party terms, create security risk, or expose MeritQue or its users to legal liability.

11. Application Assistance and Submission

Where MeritQue offers application-assistance or submission features, you authorize MeritQue to take only the actions clearly described to you and approved by you.

Unless expressly stated otherwise:

  • You must review the application before submission;
  • You are responsible for the accuracy of all submitted information;
  • You are responsible for confirming that the destination is legitimate;
  • You are responsible for complying with third-party platform rules;
  • You are responsible for confirming that the application was received; and
  • You may withdraw authorization before submission.

MeritQue may refuse to submit or assist with an application where:

  • Required information is missing;
  • Information appears false or inconsistent;
  • Sensitive questions require your input;
  • Submission may violate third-party rules;
  • The employer or platform blocks automated activity;
  • The application destination appears suspicious; or
  • The feature is unavailable.

MeritQue is not your legal agent, employment agent, or representative unless a separate written agreement expressly states otherwise.

12. Acceptable Use

You may use MeritQue only for lawful, personal, and legitimate career-related purposes.

You may not:

  • Violate any law or regulation;
  • Submit false or misleading applications;
  • Impersonate another person;
  • Apply using another person’s identity;
  • Harass or spam employers;
  • Submit excessive or abusive application volume;
  • Circumvent platform restrictions;
  • Scrape or harvest data;
  • Use unauthorized automation;
  • Probe or test system vulnerabilities;
  • Bypass subscription limits;
  • Reverse engineer the Service;
  • Copy or resell the Service;
  • Use MeritQue to create a competing product;
  • Introduce malware or harmful code;
  • Interfere with system performance;
  • Access data belonging to another user;
  • Upload unlawful or infringing content;
  • Use the Service for discrimination or unlawful screening;
  • Use the Service to facilitate fraud; or
  • Use the Service in a way that harms MeritQue, employers, job platforms, or other users.

We may investigate suspected misuse and cooperate with lawful requests from authorities.

13. Subscriptions

Some features require a paid subscription.

Available plans, prices, limits, and included features will be displayed at checkout.

By purchasing a subscription, you authorize MeritQue and its payment processor to charge your selected payment method for:

  • The initial subscription period;
  • Recurring renewal periods;
  • Applicable taxes; and
  • Any additional purchases you expressly approve.

Unless otherwise stated at checkout, paid subscriptions automatically renew at the end of each billing period until canceled.

Before purchasing, you will be shown:

  • The subscription price;
  • Billing frequency;
  • Renewal terms;
  • Included features;
  • Any usage limits;
  • Any trial or promotional terms; and
  • How to cancel.

You agree to provide current and accurate billing information.

14. Trials and Promotions

MeritQue may offer free trials, promotional prices, discounts, or credits.

Trial and promotional terms will be disclosed when offered.

Unless stated otherwise:

  • Only one trial may be used per person;
  • Trials may require a payment method;
  • A trial may convert to a paid subscription if not canceled;
  • Promotional pricing may end after the stated period;
  • Discounts may not be combined;
  • Credits have no cash value; and
  • We may revoke promotions obtained through fraud or misuse.

Where required, we will obtain your consent before charging you after a trial or promotional period.

15. Cancellation

You may cancel your subscription at any time through the online billing or account-management feature provided by MeritQue.

You may also contact us at meritcue@gmail.com if the online cancellation feature is unavailable.

Unless otherwise required by law:

  • Cancellation stops future renewals;
  • Cancellation does not automatically refund past charges;
  • Your paid access continues through the end of the current billing period;
  • Unused time is not credited; and
  • Your account may move to a limited or unpaid status after the billing period ends.

Deleting the app, closing a browser window, or stopping use of the Service does not automatically cancel a subscription.

16. Refunds

Except where required by law or expressly stated in a separate Refund Policy:

  • Subscription payments are non-refundable;
  • Partial billing periods are not refunded;
  • Unused credits are not refundable;
  • Failure to use the Service does not create a refund right; and
  • Failure to obtain interviews or employment does not create a refund right.

Approved refunds may result in immediate loss of paid access.

We may deny refunds where there is evidence of abuse, fraud, repeated refund requests, or substantial use before the refund request.

17. Failed Payments and Chargebacks

If a payment fails, we may:

  • Retry the payment;
  • Notify you;
  • Limit paid features;
  • Suspend the subscription;
  • Cancel the subscription; or
  • Require updated payment information.

You agree to contact us before initiating a chargeback where you believe a billing error occurred.

Fraudulent or abusive chargebacks may result in account suspension or termination.

18. Price and Plan Changes

We may change subscription prices, features, usage limits, or plan structures.

For existing subscribers, material price changes will take effect only after any notice required by law.

Where required, we will provide advance notice and information about how to cancel.

Continued use after a properly disclosed change takes effect constitutes acceptance of the new price or plan terms.

19. Usage Limits

Plans may include limits on:

  • Job analyses;
  • Resume generations;
  • Cover letters;
  • Application-answer packages;
  • File storage;
  • Exports;
  • Automated actions;
  • Application tracking;
  • Processing speed; or
  • Other features.

Unused limits may expire at the end of the billing period unless stated otherwise.

You may not create multiple accounts or manipulate technical systems to avoid usage limits.

20. Privacy

Our collection, use, sharing, storage, and deletion of personal information is described in the MeritQue Privacy Policy.

The Privacy Policy is incorporated into these Terms.

You understand that providing the Service may require MeritQue to process career and application data through service providers such as cloud-hosting, document-processing, AI, email, analytics, and payment providers.

21. Security

MeritQue uses reasonable administrative, technical, and organizational safeguards.

However, no online service, storage system, or transmission method is completely secure.

You acknowledge that:

  • Security incidents may occur;
  • Files may become unavailable;
  • Third-party systems may be compromised;
  • Internet transmissions may be intercepted; and
  • You should retain independent copies of important documents.

You are responsible for using secure devices, passwords, and networks.

22. Intellectual Property

MeritQue and its licensors own all rights in the Service, including:

  • Software;
  • Source code;
  • Interfaces;
  • Workflows;
  • Design;
  • Logos;
  • Trademarks;
  • Branding;
  • Documentation;
  • Templates;
  • Databases;
  • Analysis methods;
  • Scoring systems;
  • Prompts;
  • Proprietary content; and
  • Related intellectual property.

Subject to these Terms, MeritQue grants you a limited, revocable, nonexclusive, nontransferable license to use the Service for your personal, lawful purposes.

No rights are granted except those expressly stated.

“MeritQue,” its logo, and related marks may not be used without written permission.

23. Feedback

If you provide suggestions, ideas, feature requests, or feedback, you grant MeritQue a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation.

This does not transfer ownership of your resume, career history, or other User Content.

24. Copyright Complaints

MeritQue respects intellectual-property rights.

If you believe content available through MeritQue infringes your copyright, send a notice containing the legally required information to meritcue@gmail.com.

We may remove or restrict allegedly infringing content and terminate repeat infringers where appropriate.

If MeritQue seeks protection under the Digital Millennium Copyright Act’s service-provider provisions, the company should register and maintain a designated agent with the U.S. Copyright Office.

25. Suspension and Termination

You may stop using MeritQue at any time.

We may suspend, restrict, or terminate your access if:

  • You violate these Terms;
  • Payment is overdue;
  • You provide false information;
  • You misuse AI features;
  • You violate third-party terms;
  • Your activity creates security or legal risk;
  • Your account appears fraudulent;
  • You interfere with the Service;
  • We are required to do so by law; or
  • We discontinue the Service.

Where reasonable, we may provide notice and an opportunity to correct the issue.

Upon termination:

  • Your right to use the Service ends;
  • Outstanding amounts remain due;
  • Certain provisions of these Terms survive;
  • Data may be retained or deleted in accordance with the Privacy Policy; and
  • You may lose access to generated documents.

Download important documents before closing your account.

26. Service Changes and Availability

We may modify, update, suspend, or discontinue any part of MeritQue.

We do not guarantee that:

  • The Service will always be available;
  • Every feature will remain available;
  • The Service will be error-free;
  • Every integration will continue to function;
  • Generated documents will retain identical formatting; or
  • Third-party platforms will continue supporting integrations.

We may conduct maintenance without advance notice.

27. Beta Features

Features labeled beta, preview, experimental, early access, or similar may be incomplete, unreliable, or changed without notice.

Beta features are provided for evaluation and may contain errors.

You use beta features at your own risk.

28. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

MERITQUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY;
  • SECURITY;
  • RELIABILITY; AND
  • EMPLOYMENT RESULTS.

MERITQUE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ERRORS WILL BE CORRECTED.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERITQUE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:

  • LOST INCOME;
  • LOST EMPLOYMENT OPPORTUNITIES;
  • LOST DATA;
  • LOST PROFITS;
  • REPUTATIONAL HARM;
  • EMPLOYER DECISIONS;
  • REJECTED APPLICATIONS;
  • MISSED DEADLINES;
  • THIRD-PARTY PLATFORM RESTRICTIONS;
  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES; OR
  • PUNITIVE DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERITQUE’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO MERITQUE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS ($100).

The limitations apply regardless of the legal theory and even if MeritQue was advised of the possibility of damages.

Some jurisdictions do not allow certain liability limitations. In those jurisdictions, limitations apply only to the extent permitted by law.

30. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MeritQue and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

  • Your use or misuse of the Service;
  • Your User Content;
  • Your application materials;
  • False or misleading information you submit;
  • Your violation of these Terms;
  • Your violation of law;
  • Your violation of third-party platform terms;
  • Your infringement of another person’s rights; or
  • Applications or communications made through your account.

MeritQue may control the defense of a covered claim, and you agree to cooperate.

31. Informal Dispute Resolution

Before filing a lawsuit or arbitration, you and MeritQue agree to attempt to resolve the dispute informally.

The complaining party must send a written notice describing:

  • The party’s name and contact information;
  • The relevant account;
  • The facts supporting the dispute;
  • The requested resolution; and
  • Relevant documents.

Notices to MeritQue must be sent to meritcue@gmail.com (Apex Relational Intelligence, Marana, AZ).

The parties will have 30 days after receipt of the notice to attempt resolution.

32. Binding Arbitration

Except for disputes eligible for small-claims court or claims seeking emergency relief for misuse of intellectual property or unauthorized access, disputes arising from these Terms or the Service will be resolved by binding individual arbitration.

Arbitration will be administered by the American Arbitration Association under its applicable Consumer Arbitration Rules.

The Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement.

The arbitration may occur:

  • By telephone;
  • By video conference;
  • Based on written submissions; or
  • In Pima County, Arizona, as determined under the applicable rules.

The arbitrator may award the same individual remedies available in court.

Judgment on the award may be entered in a court with jurisdiction.

Arbitration Opt-Out

You may opt out of arbitration by sending written notice to meritcue@gmail.com within 30 days after first accepting these Terms.

The notice must include:

  • Your full name;
  • Your account email;
  • A statement that you opt out of arbitration; and
  • Your signature.

Opting out of arbitration will not affect your access to MeritQue.

33. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT INDIVIDUALLY.

YOU AND MERITQUE WAIVE THE RIGHT TO:

  • Participate in a class action;
  • Bring a class arbitration;
  • Act as a private attorney general;
  • Consolidate claims with other users; or
  • Have a dispute decided by a jury where arbitration applies.

If the class-action waiver is found unenforceable for a particular claim, that claim must proceed in court rather than class arbitration.

34. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except where federal law applies.

For disputes not subject to arbitration, you and MeritQue consent to exclusive jurisdiction in the state and federal courts located in Pima County, Arizona.

Mandatory consumer-protection rights in your home jurisdiction are not waived where they cannot legally be waived.

35. International Use

MeritQue is controlled from the United States.

We do not represent that the Service is appropriate or legally available in every country.

Users outside the United States are responsible for complying with local laws, including laws governing:

  • Privacy;
  • Employment;
  • Consumer subscriptions;
  • Artificial intelligence;
  • Data transfers; and
  • Electronic communications.

36. Electronic Communications

You consent to receive electronic communications relating to:

  • Your account;
  • Security;
  • Billing;
  • Subscription renewal;
  • Changes to these Terms;
  • Privacy notices;
  • Service updates; and
  • Support.

Electronic communications satisfy any legal requirement that a communication be in writing, to the extent permitted by law.

You are responsible for maintaining a valid email address.

Marketing communications may be managed separately through unsubscribe controls.

37. Changes to These Terms

We may update these Terms.

If a change is material, we may provide notice through:

  • Email;
  • An in-app notice;
  • A website notice; or
  • Another legally permitted method.

The updated Terms will state a new effective date.

Your continued use after the effective date constitutes acceptance, except where affirmative consent is required by law.

38. Partner and Affiliate Programs

Participation in any MeritQue referral, affiliate, creator, ambassador, or partner program is governed by separate program terms.

These Terms do not create a right to commissions, referral attribution, or partner payments.

39. Assignment

You may not assign or transfer these Terms without our written consent.

MeritQue may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service.

40. Severability

If a provision of these Terms is found unenforceable, the remaining provisions remain effective.

The invalid provision will be modified only to the minimum extent necessary to make it enforceable.

41. No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

42. Entire Agreement

These Terms, the Privacy Policy, the Refund Policy, and any plan-specific or feature-specific terms presented to you form the entire agreement between you and MeritQue regarding the Service.
